This website, onuia.com (the "Site"), is operated by Onuia LLC, a limited liability company organized under the laws of the State of Wyoming, USA, with its registered address at 2106 House Avenue, Suite 558, Cheyenne, Wyoming 82001 ("Onuia," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Site and your purchase of any products through the Site (collectively, the "Services").
By accessing the Site or placing an order, you agree to be bound by these Terms, including the binding arbitration agreement and class action waiver in Section 14. If you do not agree to these Terms, please do not use the Services.
You must be at least 18 years old, or the age of majority in your place of residence, to make a purchase through the Site. By using the Services, you represent that you meet this requirement.
3.1 Product information. We make reasonable efforts to display our products and their colors, dimensions, and materials accurately. However, we cannot guarantee that your device's display accurately reflects the actual product. All product descriptions are subject to change without notice.
3.2 Order acceptance. Your order is an offer to purchase. We reserve the right to accept or decline any order at our discretion, including in cases of suspected fraud, pricing or listing errors, or stock unavailability. An order is accepted only when we send a shipping confirmation. If we cancel an order after payment, we will issue a full refund.
3.3 Pricing and errors. All prices are displayed in the currency shown at checkout. We reserve the right to correct pricing errors, including after an order is placed; in that case, you may choose to confirm the order at the correct price or cancel it for a full refund.
3.4 Order changes and cancellations. You may request a cancellation or change by contacting contact@onuia.com as soon as possible. We will accommodate requests where the order has not yet been processed for shipment, but we cannot guarantee cancellation once processing has begun. If cancellation is no longer possible, you may return the order in accordance with Section 6.
4.1 Our primary markets are the United States, Canada, the United Kingdom, Australia, and New Zealand. In addition, we accept orders from a number of other countries — including countries in the European Economic Area, Switzerland, Norway, Iceland, Japan, South Korea, Singapore, Hong Kong, Israel, Saudi Arabia, and the United Arab Emirates. The countries we ship to are shown in the country selector and at checkout.
4.2 Delivery estimates are provided in good faith but are not guaranteed. We are not liable for delays caused by carriers, customs, or events outside our reasonable control.
4.3 Duties and import taxes. For orders shipped outside the United States, applicable import duties, customs fees, and local taxes (such as VAT or GST) may apply and are the responsibility of the customer unless expressly stated otherwise at checkout.
4.4 Risk of loss passes to you upon delivery of the products to the shipping address you provided. Please inspect your order upon delivery and report any damage or discrepancy within 14 days.
We accept the payment methods displayed at checkout, including Visa, Mastercard, American Express, Discover, Diners Club, PayPal, Apple Pay, Google Pay, and Shop Pay. Payments are processed by third-party payment processors, including Shopify Payments, PayPal, and the providers of the digital wallets offered at checkout. You represent that you are authorized to use the payment method provided. All transactions are subject to verification and anti-fraud screening.
6.1 Return window. You may return products within 30 days of delivery for a refund.
6.2 Condition. Returned items must be unused, in their original condition, with all tags attached and in the original packaging. Proof of purchase is required.
6.3 Return process. To initiate a return, contact contact@onuia.com with your order number. We will provide a return authorization and instructions, including the return address. Returns sent without prior authorization may not be accepted.
6.4 Return shipping costs. Return shipping costs are paid by the customer, except where the product is defective, damaged on arrival, or not the product you ordered — in those cases we will provide a prepaid return label or refund your reasonable return shipping costs.
6.5 Refunds. Once we receive and inspect the returned item, we will notify you of the approval status within 10 business days. Approved refunds are issued to your original payment method within 10 business days of approval. Your bank or card issuer may require additional time to post the refund.
6.6 Defective or incorrect items. If you receive a defective or incorrect item, contact us within 30 days of delivery. We will, at your choice, send a replacement free of charge or issue a full refund, including any return shipping arranged by us.
6.7 Consumer rights. Nothing in this Section limits any non-waivable statutory rights or guarantees you may have under the laws of your place of residence, including under the Australian Consumer Law, the New Zealand Consumer Guarantees Act, or the United Kingdom Consumer Rights Act 2015.
6.8 EU, EEA, and UK right of withdrawal. If you are a consumer in the European Union, the European Economic Area, or the United Kingdom, you have a statutory right to withdraw from your purchase within 14 days of delivery, without giving any reason, under the EU Consumer Rights Directive or the UK Consumer Contracts Regulations 2013 (as applicable). To exercise this right, notify us within that period by email at contact@onuia.com with an unequivocal statement of your decision to withdraw. You bear the direct cost of returning the goods. We will refund all payments received, including standard (least expensive) delivery costs, within 14 days of receiving the returned goods or proof that you have sent them back. You are liable for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature and characteristics. Our 30-day return policy in this Section applies in addition to — and never instead of — this statutory right.
7.1 Email. By subscribing to our mailing list, you consent to receive marketing emails. You can unsubscribe at any time via the link in each email.
7.2 SMS/text messages (US and Canada). By opting in to Onuia text messages, you consent to receive recurring automated marketing and transactional text messages from Onuia at the phone number you provided. Consent is not a condition of any purchase. Message frequency varies. Message and data rates may apply. Reply STOP to cancel at any time and HELP for help. Carriers are not liable for delayed or undelivered messages. Our collection and use of your phone number is described in our Privacy Policy.
All content on the Site — including text, product photography, graphics, logos, and the Onuia name and branding — is owned by or licensed to Onuia LLC and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any Site content without our prior written permission.
If you submit reviews, photos, comments, or other content ("User Content"), you grant Onuia a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, display, and adapt that User Content in connection with our business, including in marketing. You represent that your User Content is accurate, reflects your genuine experience, is your own, and does not violate any third party's rights. We may remove User Content at our discretion, but we do not suppress or remove reviews merely because they are negative.
You may not use the Services: (a) for any unlawful purpose; (b) to infringe the rights of others; (c) to transmit malicious code or interfere with the Site's operation; (d) to scrape, harvest, or copy Site content or data at scale; (e) to submit false or misleading information, including fraudulent orders or fake reviews; or (f) to impersonate any person or entity.
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, AND CONSUMERS IN THE UNITED KINGDOM, AUSTRALIA, AND NEW ZEALAND MAY HAVE STATUTORY GUARANTEES THAT CANNOT BE EXCLUDED. IN THAT CASE, THIS SECTION APPLIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) ONUIA LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR ANY PRODUCTS; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR ANY PRODUCT SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID US FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED US DOLLARS (USD $100).
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE SUCH LIMITATION IS PROHIBITED.
You agree to indemnify and hold harmless Onuia LLC and its officers, members, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your User Content, or your misuse of the Services.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION.
14.1 Informal resolution first. Before filing any claim, you and Onuia agree to first attempt to resolve the dispute informally. Send a written notice describing the dispute to contact@onuia.com or to Onuia LLC, 2106 House Avenue, Suite 558, Cheyenne, WY 82001. If the dispute is not resolved within 30 days of receipt of the notice, either party may commence arbitration.
14.2 Agreement to arbitrate. You and Onuia agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any product purchased through the Site shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except as provided in Section 14.4. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
14.3 Arbitration procedure. Arbitration will be conducted by a single arbitrator. For claims under USD $25,000, arbitration will be conducted on the basis of written submissions or by videoconference unless the arbitrator determines a hearing is necessary. Payment of filing, administration, and arbitrator fees will be governed by the AAA's Consumer Arbitration Rules. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.4 Exceptions. Either party may (a) bring an individual claim in small claims court in a court of competent jurisdiction, and (b) seek injunctive or other equitable relief in court to protect intellectual property rights. If you reside outside the United States, nothing in this Section deprives you of the protection of mandatory consumer protection laws, or of access to courts where such access cannot lawfully be excluded, in your country of residence.
14.5 Class action waiver. YOU AND ONUIA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims. If this class action waiver is found unenforceable as to a particular claim, then that claim (and only that claim) shall proceed in court, and this waiver shall remain fully enforceable as to all other claims.
14.6 Opt-out right. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending a written notice to contact@onuia.com stating your name, the email address associated with your order, and your intent to opt out of arbitration. Opting out of arbitration does not affect any other provision of these Terms.
These Terms and any dispute arising out of them are governed by the laws of the State of Wyoming, USA, without regard to its conflict of law principles, except that Section 14 is governed by the Federal Arbitration Act. If you are a consumer residing outside the United States, you additionally retain the benefit of any mandatory consumer protection provisions of the law of your country of residence.
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Material changes to Section 14 will not apply retroactively to disputes arising before the change. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, Return Policy, and any policies referenced herein, constitute the entire agreement between you and Onuia LLC regarding the Services. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
